Ethics Board Docket No. 2022-724 <br /> Page 3 of 11 <br /> 4. <br /> DCG was incorporated on November 29, 1971. DCG was incorporated under the name <br /> "Dupre-Carrier-Callahan Agency, Inc.", but changed its name to "Dupre-Carrier-Godchaux <br /> Agency, Inc." effective August 15, 1979. <br /> 5. <br /> In 2005, DCG became wholly-owned by United Insurance Group, L.L.C., a Louisiana <br /> limited liability company("UIG"). Beginning in 2015, and at all times relevant herein, Godchaux <br /> Holdings Group, LLC owned 63% of the membership interests in UIG. <br /> 6. <br /> Godchaux Holdings Group, LLC, a Louisiana limited liability company ("GHG"), was <br /> organized on February 23, 2005. Mr. Godchaux owns 50% of the membership interest of GHG. <br /> 7. <br /> DCG is 100% owned by UIG, UIG is 63% owned by GHG, and GHG is 50% owned by <br /> Mr. Godchaux. Accordingly, Mr. Godchaux has an indirect ownership interest in 31.5% of DCG. <br /> As the 31.5% indirect owner of DCG, Mr. Godchaux has a controlling interest in DCG as defined <br /> in La. R.S. 42:1102(8). <br /> 8. <br /> DCG has served as Agent of Record for the SLPSO since 1992. Accordingly, DCG's role <br /> as agent of record preceded Mr. Guidroz's service as Sheriff. In that role, DCG would market <br /> SLPS's insurance needs to various underwriters and insurance entities, who would, in turn, issue <br /> contracts of insurance to SLPSO. <br /> 9. <br /> From 2019 through 2023, DCG assisted SLPSO in procuring at least 18 insurance policies. <br />
