Mr. Duplechein recused <br /> himself from the vote on this matter. <br /> 8. <br /> On June 16, 2014, David Duplechein accepted a job as a full-time sales producer at Hughes <br /> Insurance Services, L.L.C. Mr. Duplechein sells home, auto, fire, and various other insurance <br /> products. <br /> 9. <br /> David Duplechein is paid a commission on the insurance polices he writes and the business <br /> he produces. The commissions are held in Hughes Insurance Services'Operating and Trust accounts <br />
