3. <br /> On January 30, 2019, BCHI Board's nominating committee put forth Collis Temple, Jr. ("Mr. <br /> Temple") as a prospective member. Two months later, at its April 2, 2019 meeting, the full Board of <br /> Directors approved Mr. Temple's membership on that body, for a two (2) year term. He attended his <br /> first meeting as a member of BCHI Board of Directors on May 29, 2019. <br /> 4. <br /> In March 2019,the City of Baton Rouge,Parish of East Baton Rouge and BCHI entered into a <br /> cooperative endeavor agreement whereby BCHI would operate the crisis stabilization program and <br /> operate/maintain a treatment center. <br /> 5. <br /> In the Fall of 2019, BCHI entered into negotiations with RI International, Inc. ("RI"), an <br /> Arizona based entity, which specializes in the management of substance abuse and mental health <br /> centers, to develop and manage its treatment facility. During this time, RI began searching for a <br /> suitable location for the facility in Baton Rouge. The search considered about a half dozen sites across <br /> the city. <br /> 6. <br /> At a special BCHI Board meeting on December 19,2019,after the Board members were asked <br /> for potential site suggestions,Mr. Temple declared that be owned a building on Florida Boulevard that <br /> might make a suitable location for the treatment facility. <br /> 7. <br /> On December 30, 2019, BCHI and RI entered into a contract whereby RI agreed to develop <br /> and manage the treatment facility. The following month, representatives of RI and BCHI toured Mr. <br /> Temple's building,which has been owned by Human Resource Group,Inc. ("HRG"),an entity wholly <br /> owned and controlled by Mr. Temple. Approximately six (6) other site visits were conducted during <br /> this time. <br /> Page 2 of 6 <br />
