The Code of Ethics prohibits a company owned by a member of the Bayou Cane Fire Protection District from bidding on or entering into transactions under the supervision or jurisdiction of the Bayou Cane Fire Protection District. The Code of Ethics prohibits the renewal of any contracts between a company owned by the father of a member of the Terrebonne Parish Council with the Council.

Ryan Page is a public employee pursuant to La. R.S. 42:1102(18)(x)and a public servant pursuant <br /> to La. R.S. 42:1102(19). Ryan Page's agency is the Parish,pursuant to La. R.S.42:1102(2)(a)(vi). <br /> Subject t Policies with the Parish <br /> La. R.S. 42:1113A prohibits public servants, their immediate family members, and companies in <br /> which they or their immediate family members own a controlling interest from entering into <br /> transactions with their agency. <br /> Asa 50% owner of the Company, you own a controlling interest in the Company pursuant to La. <br /> R.S. 42:1102(8). Ryan Page is your immediate family member pursuant to La. R.S. 42:1102(13). <br /> As a result, R.S. 42:1113A prohibits <br /> As you own a controlling interest in the Company, the Company is prohibited by 1113A from <br /> entering into transactions with the Parish, since the transaction is under the supervision or <br /> ju6;3d.iction of your son's agency, the Parish. <br /> The Board noted, however, that La. R.S. 42:1113A only prohibits entering into transactions. <br /> Accordingly,the Subject Policies currently in place would be allowed to remain in place upon the <br /> Company acquiring the Target.As to any renewals of the Subject Policies with the Parish after the <br /> Company's acquisition of the Target, the Board has previously held that an automatic renewal of <br /> a ccntract world not create a violation of La. R.S. 42:1113. However, a renewal is only considered <br /> automatic if no action would be required by either party. Accordingly, if any action to renew the <br /> Subject Policies with the Parish would be required by the Company, the Company would be <br /> prohibited fron taking such actions to renew the Subject Policies. <br /> SubLct Policies with the District <br /> La. R.S. 42:1113 B prohibits appointed members of boards, and companies in which they have a <br /> substantial economic interest, from bidding on, entering into, or having a substantial economic <br /> interest in any contract, subcontract, or other transaction which is under the supervision or <br /> juri,3diction of the agency of the appointed member. <br /> As an appointed District board member, 1113B prohibits you, your immediate family members, <br /> and any legal entity in which you have a substantial economic interest,from entering into or having <br /> a substantial economic interest in any contract with the District.Accordingly,the Company would <br /> be prohibited from having any policies with the District, even if those policies were entered into <br /> prier to the Company's acquisition of the Target. <br /> Participation by Ryan Page <br /> Finally, La. R.S. 42:1112B(1)prohibits a public servant from participating in matters in which any <br /> member of his immediate family has a substantial economic interest. Accordingly, Ryan Page <br /> would be prohibited from participating in any matters between the Company and the Parish, in <br /> which you have a substantial economic interest. <br /> CONCLUSION <br /> The Board (by a vote of 10 to 2, with Board Members Grimley and Huval opposing, and Board <br /> Member Whipple recused) concluded, and instructed me to inform you, that the Code prohibits <br /> Page 3 of 4 (BD 2025-295) <br />
